1.Introduction
These Terms & Conditions (“Terms”) govern your access to and use of the CoHold website, mobile application and related services (the “Platform”).
CoHold provides technology, information and related services intended to help you discover and evaluate real-estate opportunities and, where available, register your interest in them.
By accessing or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, you should not use the Platform.
2.Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use investment-related features of CoHold. You are responsible for ensuring that accessing or using the Platform is lawful in your jurisdiction.
3.Platform role
CoHold is a technology-enabled real-estate platform. Unless expressly stated otherwise in legally binding transaction documentation, information presented on the Platform is provided for informational and discovery purposes.
The availability of a property on the Platform should not, by itself, be interpreted as personal investment advice, financial advice, tax advice or legal advice, nor as a guarantee of investment suitability, availability, ownership, rental income, capital appreciation or investment returns.
You should independently evaluate every opportunity and obtain appropriate professional advice where necessary.
4.Registration and user information
When registering with CoHold, you agree to provide information that is accurate, current and not misleading. You must not:
- impersonate another person;
- provide false contact information;
- submit fraudulent registrations;
- misuse another person’s information; or
- interfere with the operation of the Platform.
CoHold may reject, restrict or remove registrations reasonably suspected to be fraudulent, unlawful or abusive.
5.Registration of interest
Where the Platform allows you to “Register Interest”, “Register Now”, “Invest” or use similar functionality, the legal effect of that action is determined by the specific wording and the transaction documentation applicable at that stage.
Unless the Platform explicitly states otherwise and separate binding documents have been executed, an expression or registration of interest is non-binding and does not create property ownership, an LLP or SPV interest, a security, an allotment, or a contractual entitlement to participate in a particular property.
CoHold may contact registered users when further information or participation steps become available.
6.Property information
CoHold may display information relating to properties including location, property type, acquisition price, expected rental characteristics, estimated rental yield, historical information, projected appreciation, investment structure, occupancy, tenant information, due-diligence information, estimated fees, and photographs or illustrations.
Property information may be obtained from property owners, brokers, developers, service providers, public sources and due-diligence processes. Images may include representative or illustrative photography that is not a photograph of the specific asset.
While reasonable efforts may be made to verify information, circumstances and property information can change. You must review the final transaction documents before making any financial commitment.
7.Due diligence and screening
CoHold may perform or coordinate screening of property opportunities. Depending on the opportunity, screening may consider property ownership and asset type, property debt, financing structure, SPV or LLP borrowing, property usage, tenant business activities, rental income source, agreements and contracts, fees, distribution mechanisms, exit arrangements, insurance, escrow and banking arrangements, and Shariah-related considerations where applicable.
Screening reduces certain information risks but does not eliminate investment risk. No screening process should be interpreted as a guarantee regarding future performance, legal outcome or property value.
8.Fractional ownership, LLP and SPV structures
Where a property opportunity uses an LLP, SPV, company, contractual co-ownership or another ownership structure, your actual rights and obligations will be governed by the specific legal and transaction documentation applicable to that opportunity.
Those documents may cover ownership rights, voting or governance rights, distributions, management, transfer restrictions, fees, liabilities, exit arrangements and sale of the property. Any summary shown on the Platform does not replace them.
In the event of a conflict, the applicable executed transaction documents and applicable law take precedence over Platform content.
9.Escrow and funds
Where a particular opportunity uses an escrow arrangement, the relevant property page and the transaction documentation for that opportunity identify the applicable arrangement and its status. Escrow information shown on the Platform relates only to the specific opportunity on which it appears and should not be read as a general statement about all CoHold opportunities.
An escrow arrangement is an operational fund-handling measure. It does not constitute a bank guarantee, deposit insurance or any guarantee of investment outcome, and it does not eliminate property or investment risk.
11.Prohibited and non-permissible activities
Where CoHold presents an opportunity as Shariah-screened, the relevant screening seeks to exclude or address material exposure to businesses primarily engaged in activities such as conventional interest-based banking or finance, alcohol, gambling, pork or other non-permissible food activities, adult entertainment, tobacco, and other activities determined to be inconsistent with the applicable screening methodology.
Any thresholds, purification methodology, incidental-income treatment or detailed Shariah criteria are described separately where applicable. This list alone does not constitute universal Shariah certification.
12.Investment risk
Real estate and fractional real-estate participation can involve substantial risk. Risks may include reduction in property value, inability to find or retain tenants, lower-than-expected rent, tenant default, unexpected maintenance expenses, legal disputes, title or documentation issues, delays, regulatory changes, tax changes, financing risk, liquidity limitations, inability to exit when desired, economic downturns and force majeure events.
You may lose some or all of the economic value associated with an investment. Only commit capital that you can afford to expose to investment risk. See our Risk Disclosure for further detail.
13.No guaranteed returns
Any projected rental yield, projected IRR, expected capital appreciation, expected distribution, estimated return or historical performance shown on the Platform is illustrative or indicative unless expressly stated otherwise.
Past performance does not guarantee future results. Property prices may rise, remain unchanged or fall. Rental income may vary or cease. CoHold does not guarantee investment returns.
14.Fees, costs and taxes
Where fees are applicable, they will be disclosed before you enter into a binding transaction. Fees may differ between opportunities.
You are responsible for understanding your own tax obligations, stamp duty, registration costs, applicable transaction charges and other costs where applicable. CoHold does not provide personalised tax advice unless expressly stated.
15.Payments
The Platform does not currently process payments. Where payment functionality is introduced, payments may be processed through third-party payment, banking or escrow providers, and may be subject to those providers’ additional terms.
You must use only payment methods that lawfully belong to you or that you are authorised to use.
16.Exit and liquidity
Fractional property interests may be illiquid. You should not assume that:
- another buyer will always be available;
- CoHold will repurchase an interest;
- an investment can be sold immediately;
- a secondary market will exist; or
- a property will be sold at a particular time or value.
Exit arrangements for each opportunity are governed by its specific transaction documentation.
17.Intellectual property
Unless otherwise stated, the Platform’s branding, software, layout, text, graphics, designs and original content belong to CoHold or its licensors. You may access Platform content for lawful personal use.
Without appropriate permission, you may not:
- reproduce substantial Platform content;
- commercially exploit Platform data;
- copy CoHold branding;
- scrape the Platform at scale;
- interfere with Platform systems; or
- reverse engineer protected software, except where permitted by law.
18.Acceptable use
You must not use CoHold to:
- commit fraud;
- launder money;
- submit false documents;
- impersonate another person;
- violate applicable law;
- attack or disrupt the Platform;
- introduce malicious software;
- circumvent security controls;
- misuse another person’s personal information; or
- undertake unauthorised automated scraping or access.
19.Third-party services
CoHold may integrate with third-party services including hosting, database, analytics, messaging and, in future, banks, escrow providers, payment providers, property service providers and identity-verification providers. Independent third parties have their own terms and policies. CoHold is not responsible for an independent third party’s services beyond the extent required by applicable law or agreed contractual responsibility.
20.Platform availability
CoHold aims to maintain reliable Platform access but does not guarantee uninterrupted or error-free operation. Access may occasionally be interrupted by maintenance, system failures, third-party service disruption, network failure, security incidents or events outside reasonable control.
21.Limitation of liability
To the maximum extent permitted by applicable law, CoHold will not be responsible for losses arising solely from investment decisions made by a user, market movements, changes in property values, third-party actions outside CoHold’s reasonable control, inaccurate information supplied by third parties where CoHold could not reasonably have identified the inaccuracy, or interruption caused by circumstances outside reasonable control.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
22.Indemnity
To the extent permitted by law, and without limiting your rights under mandatory consumer law, you may be responsible for losses, claims or expenses arising from your unlawful use of the Platform, fraudulent conduct, material breach of these Terms, or infringement of third-party rights.
23.Privacy
The handling of personal information is governed by the CoHold Privacy Policy, available at https://cohold.in/privacy. You may request deletion of your data via our Data Deletion page.
24.Suspension or termination
CoHold may reasonably restrict or suspend access where necessary because of suspected fraud, security threats, unlawful activity, misuse of the Platform, material breach of these Terms, or regulatory requirements. Contractual or legal rights arising before termination remain unaffected.
25.Changes to these Terms
CoHold may update these Terms to reflect legal requirements, Platform changes, new services or operational changes. Material changes are reflected by updating the effective date shown at the top of this page. Where legally required, additional notice will be given or consent obtained.
26.Governing law
These Terms are governed by the laws of India. Subject to applicable law, disputes shall be subject to the jurisdiction of the competent courts having jurisdiction over CoHold’s registered office.
